EwaveGlobal.com.au is a collaboration between Ewave Global Pty Ltd and Flexi e-Solutions Pty Ltd (EG&FES). We are a privately owned company based in Victoria, Australia with networks that span across Australia, Malaysia, Indonesia, Thailand and Philippines.
EG&FES operating EwaveGlobal.com.au hereby agrees to provide various Virtual Business Services to Client pursuant to the Terms and Conditions set forth herein and in the Service Agreement.
This agreement shall be for a term of 30 days and shall automatically renew unless 30 days prior written notice has been given to the other party; however, if either party is in material default of this agreement, the other party may cancel this agreement pursuant to the terms below.
Regular service shall initiate on the date set forth in the Service Agreement. Prior to the Initiation Date, Client shall pay to EG&FES the said Monthly Charge according to the package and website plus any Set-Up Fee.
In addition to the Monthly Charge, Variable Charges may be assessed pursuant to the Service Agreement.
All payments must be received by EG&FES no later than 14 days after Due Date. The Due Date for the Monthly Charge is the anniversary date of the service. The Due Date for the Variable Charges is 15 days after the invoice is generated.
Client shall, at all times, maintain a valid Credit Card(s) on file with EG&FES. Client hereby authorizes EG&FES to debit Client’s Credit Card(s) to satisfy any and all amounts due to EG&FES.
In the event EG&FES does not receive full payment within 21 days of Due Date, Client will be considered to be in Material Default of this Agreement and EG&FES shall have the right to immediately terminate service without waiving the right to collect any and all amounts then due plus all Late Fees that may accur thereafter. EG&FES shall also exercise the option to commence legal proceedings and list the default account with a credit rating agency. The listing will affect your future credit application in Australia and will remain on your file for a period of 5 years.
Cancellation request must be made anytime prior to generation of the next invoice. You shall be liable for any generated invoices and shall outstanding invoices will be processed as per our Payment procedure.
Any Setup Fee (waived or paid) will not be refunded in the event where refunds are being processed.
EG&FES will ONLY assist in forwarding small parcels (eg for items purchased within Australia) for businesses that are registered in Australia.
Mails and Parcel forwarding admin fee of $5.00 + Postage fee applies.
Call forwarding charges applies for services with direct call forwarding to a phone number.
Charges for call forwarding fees are as follows:
Australian Landline Number : $0.16 untimed
Australian Mobile Number : $0.28 / min
EG&FES makes no representations or warranties, express or implied, of any kind to Client or third party regarding EwaveGlobal.com.au’s services. EG&FES shall use reasonable efforts to provide the agreed upon services however, in no event, shall EG&FES be liable to Client, or any third party, for any claims for loss or damages as a result of any action or inaction by EG&FES.
EG&FES will not be liable for any lost mail or delayed delivery as a result of our FREE reforwarding services via Australia Post. Client can opt for paid register forwarding service via Australia Post upon request.
EG&FES reserves the right to suspend or terminate your account without notice upon rejection of any charges or if your card issuer (or its agent or affiliate) or your bank seeks return of payments previously made to EG&FES or in any other event of non-payment of charges when EG&FES believes you are liable for the charge. Such rights are in addition to and not in lieu of any other legal rights or remedies available to EG&FES.
You agree to indemnify EG&FES and each of its licensors and service providers from and against any and all liabilities, expenses (including attorneys’ fees) and damages arising out of claims based upon use of your EwaveGlobal.com.au account, including any violation of this Agreement by you or any other person using your account, any claim of libel, defamation, violation of rights of privacy or publicity, any loss of service by other customers, any infringement of intellectual property or other rights of any third parties, and any violation of any laws or regulations, including but not limited to any violation of any laws or regulations prohibiting unsolicited telemarketing phone calls.
The laws and jurisdiction of the state of Victoria, Australia shall govern any and all matters of dispute between EG&FES and Client.
Any telephone number assigned to Client by EG&FES shall remain the property of EG&FES.
EG&FES provides addtional adhoc services to provide extra convenience to our clients.
Fees for addtional services are as follows:
Scan and email to client : $50.00 per month with max 100 scan a month
Adhoc scan and email : $1.00 per page
Adhoc print and post : $1.00 per page + Stamp Fee (For volume printing and postage, please contact us for a discounted price)
Trip to bank : $5.00 per trip
Discussion room with 4 sitting : $30.00 per hour
Conference room with 6 sittings : $55.00 per hour
These Terms and Conditions and the EG&FES Service Agreement set forth the entire Agreement between the parties. This Agreement shall be binding upon all successors and assigns of the parties hereto.
